End-User Agreement

PLEASE READ THIS DOCUMENT CAREFULLY! IT CONTAINS VERY IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS, AS WELL AS LIMITATIONS AND EXCLUSIONS THAT APPLY TO YOU.

This End User Agreement ("Agreement") governs your use of HelperGo Mobile APP in Singapore ("APP"). BY USING THE APP, YOU ("CUSTOMER") AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT USE THE PRODUCT, AND YOU MAY RETURN THE PRODUCT TO YOUR PLACE OF PURCHASE (subject to its return policy).

1. OTHER DOCUMENTS

This Agreement may not be altered, supplemented, or amended by the use of any other document(s) unless otherwise agreed to in a written agreement signed by both the Customer and HelperGo.

2. WARRANTY

2.1 Unless specified otherwise, HelperGo provides customer service to the Customer for HelperGo-Mobile App (excluding customers that deals directly with the domestic helper without the consent from HelperGo ) and it will be valid from Service Confirmation from both parties via HelperGo’s App.

2.2 The utilisation of HelperGo’s App for various domestic services does not cover damages, loss, including accident, abuse, caused by either parties.

2.3 Refund Policies; HelperGo reserves the rights to not issue any refunds for the service rendered by the domestic helper, if no due cause of evidence is provided by the customer. HelperGo too reserves the right to decide on whether the cause of evidence has the validity for refund.

2.4 HelperGo does not give any warranty that the Service rendered are to be of customers’ self-standard of quality.

3. SERVICE SUPPORT

In respect of HelperGo-Mobile App, HelperGo will provide general customer service and support to Customer in accordance with the then-current service and support policies in effect as stated in contract. Service and support offerings may vary from service to service. HelperGo has no obligation to provide service or support until HelperGo has received full payment for the service/support contract purchased by Customer. HelperGo is not obligated to provide third-party branded service or support (including telephone support).

4. LIABILITY

4.1 HelperGo shall not be liable in contract or in tort for any loss or damage suffered and consumer rights are limited to those set out in these Terms and Conditions and under statute.

4.2 To the extent permitted by law and subject to clause 4.7, HelperGo' total liability herein in respect of each event or series of connected events shall not exceed the service price paid by Customer for the applicable Service.

4.3 The Customer shall indemnify HelperGo and keep HelperGo fully and effectively indemnified against any loss of or damage to any property or injury to or death of any persons caused by any negligent act or omission or willful misconduct of the Customer.

4.4 Customer further agrees that to the extent permitted by law HelperGo shall not be liable to the Customer for a) any incidental, indirect, special or consequential damages, b) loss of opportunity, c) loss of revenue, d) loss of profit or anticipated profit, e) loss of business f) loss of contracts, g) loss of goodwill, h) loss arising out of business interruption, i) loss arising out of or in connection with pollution or contamination, all arising out of or in connection with the purchase, use or performance of Products or services, even if HelperGo has been advised of their possibility.

4.5 Any typographical, clerical or other error or omission in service literature, quotation, price list, acceptance of offer, invoice or other documents or information issued by HelperGo shall to the extent permitted by law be subject to correction without any liability on the part of HelperGo.

5. FORCE MAJEURE

Neither party shall be liable for any delay in performing any of its obligations under these Terms and Conditions if such delay is caused by circumstances beyond the reasonable control of the party so delaying, and such party shall be entitled to a reasonable extension of time for the performance of such obligations.

7. GOVERNING LAW

These Terms and Conditions shall be governed by and construed in accordance with the laws of Singapore and shall be subject to the non-exclusive jurisdiction of the courts of Singapore.

8. GENERAL

8.1 If any provision of these Terms and Conditions is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions of these Terms and Conditions and the remainder of the provisions in question shall not be affected thereby.

8.2 Save as expressly provided herein, these Terms and Conditions shall not be enforceable under the Contracts (Rights of Third Parties) Act 1999 by a third party.

8.3 No Waiver No failure or delay on HelperGo’ part in exercising any power or right under this Agreement operates as a waiver, nor does any single or partial exercise of any power or right preclude any other or further exercise, or the exercise of any other power or right.

Terms and Conditions of Service and Support

1. PROVISION OF SERVICE AND SUPPORT

During the continuance of this Agreement, HelperGo will provide service and support as follows:

1.1 HelperGo Telephone Support

HelperGo shall provide at its sole option and for as long and for such hours as it may decide Telephone Support for the Customer. "Telephone Support" means telephone and remote hardware fault diagnosis provided by HelperGo at its sole option and on such terms and conditions as it may, from time to time determine pursuant to clause 2.1.

1.2 Remedial Support

Upon receipt of notification from the Customer that the Service have not been preformed in a satisfactory manner determined by HelperGo, HelperGo reserves the right to either offer another free service to rectify the issue, or do a partial refund of the service rendered. The monetary amount is determined by HelperGo.

HelperGo' "Standard Service Hours" means the hours between 9.00 a.m. and 6.00 p.m. each day excluding Saturdays, Sundays and public holidays. Additional service hours may be available at HelperGo' discretion in consideration of the payment of additional fees.

"Service Offering (s)" means the different service options offered by HelperGo for the Products or any part of them and for varying periods, as described in HelperGo' published literature, including Customer's Invoice and/or HelperGo' Service Description.

2. CUSTOMER'S OBLIGATIONS

2.1 During the continuance of this Agreement, the Customer shall:-

2.1.1 Facilities & Equipment

Provide HelperGo with full, safe and prompt access to the Service to enable HelperGo to carry out its obligations under this Agreement. Provide adequate working space and equipment around the Service for the use of HelperGo's personnel and make available all reasonable facilities as may be requested from time to time by HelperGo.

Ensure, in the interest of health and safety, that HelperGo' personnel are met promptly by a member of the Customer and while on the Customer's premises for the purposes of this Agreement, are at all times accompanied by a member of the Customer's staff familiar with the Customer's premises and safety procedures. Make available to HelperGo, free of charge, all cleaning equipment and products required by HelperGo to enable HelperGo properly to provide the Services under this Agreement.

2.1.2 Use and Care

Make sure that proper environmental conditions (in particular those (if any) defined in the relevant Product user manuals) are maintained for the Products and shall further maintain in good condition the place where the Services are situated, the cables and fittings to the Services and associated with the Service.

An HelperGo Agreement or in accordance with a Service Offering which provides otherwise; or under instructions from the HelperGo Telephone Support; not attempt to change the agreed jobscope/service.

Customers are forbidden to deal directly with HelperGo’s domestic helper, in such an instance, HelperGo reserves the right to ban the customer’s account indefinitely. Customer is also liable to pay HelperGo for revenue losses of a monetary amount decided by HelperGo.

2.1.3 Notification and Information

Promptly notify HelperGo if the Service was not performed correctly. Failure by the Customer to notify HelperGo within 2hours of the Customer first becoming aware of such failure or incorrect working shall free HelperGo from all obligations to investigate or correct such failure or incorrect working.

3. WAIVER

Except as otherwise expressly provided for in this Agreement, no forbearance, delay or indulgence by either party in enforcing the provisions of this Agreement shall prejudice or restrict the rights of that party, nor shall any waiver of its rights operate as a waiver of any subsequent breach, and no right, power or remedy herein conferred upon or reserved for either party, is exclusive of any other right, power or remedy available to that party and each such right, power or remedy shall be cumulative.

4. SEVERANCE

If any provision of this Agreement (including terms contained in a relevant Service Offering) is held by any competent authority to be invalid or unenforceable in whole or in part the validity of the other provisions of this Agreement and the remainder of the provisions in question shall not be affected thereby.
